Seller Terms & Conditions

1. Introduction

These Seller Terms & Conditions ("Seller Terms") govern the relationship between you ("Seller") and ERPBlox ("Platform") when you participate in the ERPBlox Seller Program. By applying to become a Seller, you agree to comply with these Seller Terms in addition to the general Terms & Conditions.

2. Eligibility & Registration

2.1. Any individual or company may apply to become a Seller on ERPBlox by submitting a Seller Application through the "Sell Your App" page.

2.2. All applications are reviewed manually by the ERPBlox team. We reserve the right to approve or reject any application at our sole discretion without providing reasons.

2.3. Approval typically takes 1-2 business days. You will be notified via email once your application is processed.

2.4. By applying, you confirm that you have the legal right to distribute the software you intend to sell on ERPBlox.

3. Product Submission & Review

3.1. Products are submitted by connecting a Git repository (GitHub, GitLab, Bitbucket) containing valid Odoo module(s) with a proper __manifest__.py file.

3.2. You must add dungtv2 as a collaborator to your repository to allow ERPBlox to access and load your modules.

3.3. All newly submitted Products enter a "Draft" review state and must be approved by ERPBlox before they are visible to customers on the platform.

3.4. ERPBlox reviews Products for:

  • Code quality and security (no malicious code, backdoors, or data harvesting).
  • Proper module structure and manifest configuration.
  • Accurate product descriptions and screenshots.
  • Compliance with Odoo licensing requirements.

3.5. ERPBlox may reject a Product if it does not meet our quality standards. You may resubmit after addressing the issues.

3.6. Once approved, you may publish or unpublish your Product at any time from the Product detail page.

3.7. There is a daily limit on the number of repositories a Seller can add, as configured by the Platform administrator.

4. Pricing

4.1. Sellers set their own prices for Products via the price field in the module manifest.

4.2. Sellers may configure multiple pricing tiers (Standard, Professional, VIP, Diamond) via the price_comparison manifest key, each with different features defined in the package key.

4.3. Sellers may offer discounts via the discount manifest key. Discounts are displayed automatically on Product cards and detail pages and applied at checkout.

4.4. ERPBlox does not set or control Seller pricing. However, we reserve the right to remove Products with deceptive pricing practices.

5. Commission & Payouts

5.1. For each sale, the revenue is split as follows:

Seller receives80% of the sale price
ERPBlox platform fee20% of the sale price

5.2. The commission is calculated on the final sale price after any discounts applied.

5.3. Payouts are processed monthly, within the first 10 business days of each month for the previous month's earnings.

5.4. The minimum payout threshold is $100 USD. If your balance is below this amount, it will be carried forward to the next month.

5.5. Payouts are made via PayPal. Sellers are responsible for providing accurate payment information in their Seller Settings.

5.6. ERPBlox is not responsible for taxes on Seller earnings. Sellers are solely responsible for reporting and paying applicable taxes in their jurisdiction.

5.7. In the event of a customer refund, the corresponding commission will be deducted from the Seller's balance.

6. Intellectual Property

6.1. You retain full ownership of all intellectual property rights to your Products. Submitting a Product to ERPBlox does not transfer ownership.

6.2. By submitting a Product, you grant ERPBlox a non-exclusive, worldwide license to host, display, distribute, and promote your Product on the ERPBlox platform.

6.3. You represent and warrant that your Products do not infringe on any third-party intellectual property rights, patents, trademarks, or copyrights.

6.4. If ERPBlox receives a valid intellectual property complaint regarding your Product, we may remove it from the platform and notify you. Repeated violations may result in account termination.

7. Seller Obligations

7.1. Quality: You must ensure that your Products are functional, well-tested, and free from critical bugs at the time of submission.

7.2. Support: You are responsible for providing customer support for your Products as specified in the license tier (e.g., 3 months for Standard, 1 year for VIP). Support includes answering questions, fixing bugs, and assisting with installation.

7.3. Updates: You should keep your Products updated for compatibility with supported Odoo versions. Abandoned or outdated Products may be unpublished by ERPBlox.

7.4. Accurate Information: Product descriptions, screenshots, and feature lists must accurately represent the Product. Misleading information is grounds for Product removal.

7.5. Security: Products must not contain malicious code, backdoors, unauthorized data collection, or any code that compromises the security of the customer's Odoo instance.

8. Prohibited Content

The following types of Products are strictly prohibited on ERPBlox:

  • Products containing malware, viruses, or malicious code.
  • Products that collect user data without explicit consent.
  • Products that infringe on third-party copyrights or licenses.
  • Products that bypass Odoo Enterprise licensing requirements.
  • Products with intentionally misleading descriptions or fake screenshots.
  • Products that are exact copies or trivial modifications of free/open-source modules without added value.

9. Notifications

9.1. ERPBlox provides optional email notifications for Sellers, including:

  • Purchase notifications: When a customer buys your Product.
  • Comment notifications: When a customer leaves a comment on your Product.
  • Download notifications: When a customer downloads your Product.

9.2. You can manage notification preferences in your Seller Settings page.

10. Termination

10.1. By Seller: You may request to leave the Seller Program at any time by contacting support@erpblox.com. Your Products will be unpublished, and any pending payouts will be processed within 30 days.

10.2. By ERPBlox: We may revoke your Seller status at any time for violations of these Terms, including but not limited to:

  • Submitting prohibited content.
  • Receiving multiple valid customer complaints.
  • Failure to provide required support.
  • Fraudulent activity or misrepresentation.

10.3. Upon termination, all your Products will be unpublished. Existing customers who purchased your Products will retain their licenses.

10.4. Pending payouts above the minimum threshold will be processed within 30 days of termination, minus any pending refund obligations.

11. Limitation of Liability

11.1. ERPBlox provides the Seller platform "as is" without guarantees of sales volume, traffic, or revenue.

11.2. ERPBlox is not liable for any damages resulting from platform downtime, technical issues, or changes to the platform.

11.3. ERPBlox is not responsible for disputes between Sellers and customers. We may mediate at our discretion but are not obligated to do so.

12. Modifications

12.1. ERPBlox reserves the right to modify these Seller Terms at any time. Significant changes will be communicated via email to active Sellers.

12.2. Continued participation in the Seller Program after modifications constitute acceptance of the updated Terms.

12.3. Commission rates may be adjusted with 30 days advance notice to Sellers.
